1. AGREEMENT TO TERMS
These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Data Sheet Solutions LLC (“Company,” “we,” “us,” or “our”), governing your access to and use of our website, software platform, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms of Use. If you do not agree, you may not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. DESCRIPTION OF SERVICES
Data Sheet Solutions LLC provides a web-based software platform for managing Safety Data Sheets (“SDS”) and related materials.
Services may include:
SDS Toolbox (Self-Managed Platform)
A hosted software platform that allows users to:
- Upload, store, organize, and manage SDS documents
- Provide employee access to SDS materials
- Generate binders, labels, and reports
Under SDS Toolbox, you are solely responsible for all content and data management.
SDS Autopilot (Managed Services)
For customers who purchase additional services, Data Sheet Solutions LLC may provide:
- SDS collection and library building from customer-provided data
- SDS requests to manufacturers or suppliers
- Inventory-based SDS curation
- Periodic updates and maintenance of SDS libraries
All Autopilot services are performed based on information provided by the customer and remain subject to customer review and approval.
3. LICENSE AND USE
We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.
You agree not to:
- Reverse engineer, copy, or modify the Service
- Attempt unauthorized access
- Interfere with system performance
- Use the Service for unlawful purposes
- Provide access to unauthorized users
You are responsible for maintaining the confidentiality of your login credentials.
4. CUSTOMER RESPONSIBILITIES
You are solely responsible for:
- All SDS documents and content uploaded or used in the Service
- Ensuring the accuracy, completeness, and legality of your data
- Compliance with all applicable laws, including OSHA and environmental regulations
Data Sheet Solutions LLC does not control or monitor your content and assumes no responsibility for it.
5. INTELLECTUAL PROPERTY
The Service, including all software, features, and functionality, is owned by Data Sheet Solutions LLC and protected by applicable intellectual property laws.
Safety Data Sheets and third-party materials remain the property of their respective owners.
6. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
We do not guarantee:
- Accuracy or completeness of SDS content
- That the Service will meet your requirements
- That the Service will be uninterrupted or error-free
7. SDS AND COMPLIANCE DISCLAIMER
Data Sheet Solutions LLC:
- Does not author or verify SDS documents
- Does not guarantee the accuracy or completeness of SDS content
- Is not responsible for compliance decisions made based on the Service
You are solely responsible for determining whether SDS materials are appropriate for your use and regulatory requirements.
8. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for loss of data, profits, or business interruption
- Total liability will not exceed the amount paid for the Service in the preceding twelve (12) months
This limitation applies to all claims arising from your use of the Service.
9. INDEMNIFICATION
You agree to defend and indemnify Data Sheet Solutions LLC against any claims arising from:
- Your use of the Service
- Your uploaded content
- Violations of law or third-party rights
10. TERMINATION
We reserve the right to suspend or terminate access to the Service at any time for:
- Violations of these Terms
- Security concerns
- Misuse of the platform
11. MODIFICATIONS TO THE SERVICE
We may modify, update, or discontinue any part of the Service at any time.
We may also update these Terms of Use, and continued use of the Service constitutes acceptance of those changes.
12. GOVERNING LAW
These Terms are governed by the laws of the State of California.
Any disputes shall be resolved in courts located in California or through binding arbitration, at our discretion.
